What’s happening?
The change took effect May 15 and requires an investor or group of investors to hold 3% of the electric vehicle maker’s stock “to institute or maintain a derivative proceeding,” CNBC reported. Tesla’s market cap is $1.123 trillion, so a plaintiff would have to own shares worth $33.7 billion.
“Obviously, for a company of Tesla’s size, that would be a formidable barrier to anyone bringing a lawsuit for breach of fiduciary duty,” Tulane Law School’s Ann Lipton told CNBC in an email.
The change was enabled by a Texas law that “allows corporations to limit shareholder lawsuits against insiders for breach of fiduciary duty,” the outlet added. With shareholder approval, Tesla moved its incorporation site from Delaware to the Lone Star State in June 2024.
An investor who owned nine shares of Tesla stock sued the company in 2018, and CEO Elon Musk’s $56 billion compensation package was revoked in January 2024.

Mike Pence made the above statement – yesterday. He comes to the defense of the Wronged and Rightful President – who says he is going to run again! Let us hope he surrounds himself with BETTER ATTORNEYS than Rudi Giuliani and John Easton who were close the Donald Trump. How close was Pence? Did he foresee the utter depredation of our Democracy and Judicial System – that is based upon Judeo-Christian principles? You would think lawmakers like Senator Tom Cruz would be honored to DEFEND Trump. How many Men of God – own law degrees?
If no Republican wants a trial, or, offers a documented rebuttal, then they AGREE Trump is above the law, which forces me to conclude – TRUMP IS A GOD – and is above the law. Everyone has a right to an attorney. I will show in court that Trump was surrounded by Christians who had come to believe Jesus is God, and indeed, is on par with Apollo.

Senate Republicans are stepping out of the way of the House Jan. 6 committee’s recommendation that the Justice Department prosecute former President Trump for crimes related to the 2021 attack on the U.S. Capitol.

GOP senators, especially those allied with Senate Minority Leader Mitch McConnell (R-Ky.), say the Jan. 6 committee interviewed “credible” witnesses and added to the historical record in a substantial way, even though they have qualms about how Democrats have tried to use the panel’s findings to score political points.
Now they say it’s up to Attorney General Merrick Garland or Department of Justice special counsel Jack Smith to investigate or indict Trump, but they’re not waving federal prosecutors off from prosecuting the former president.
“The entire nation knows who is responsible for that day,” McConnell said in a statement, pointing the finger squarely at Trump in response to the House Jan. 6 committee referring four criminal charges against Trump to the Justice Department.
It was McConnell’s strongest statement blaming Trump for inciting a crowd to storm the Capitol on Jan. 6, 2021, since he denounced him on the Senate floor in February of that year.
“The people who stormed this building believed they were acting on the wishes and instructions of their president,” he said in February 2021 after voting on technical grounds to acquit Trump during his second impeachment trial.
Senate Minority Whip John Thune (R-S.D.) said, “It’s up to Justice now.”
Asked if he thought the committee had conducted a credible investigation of Trump, Thune replied, “They interviewed some credible witnesses.”
Thune said the makeup of the panel was partisan because it comprised seven Democrats and only two anti-Trump Republicans, but he acknowledged, “They did interview a lot of folks that had a lot of knowledge of what happened and they were people who I think were very credible.”
Retiring Sen. Rob Portman (R-Ohio), a member of McConnell’s leadership team, said the Jan. 6 committee’s final report, which will be made public Wednesday, is “important.”
“I think the referrals are not as important as the report. The report’s important, even though it came out of a partisan process,” he said.
“But the testimony is the testimony, and they were able to get the testimony from most of the people they wanted — not everybody but most — and I think most of the significant figures. That is the historical record,” Portman explained. “That’s very important.”
The Jan. 6 panel on Monday made four criminal referrals alleging Trump incited insurrection, obstructed an official proceeding of Congress, conspired to defraud the United States and conspired to make a false statement.
The referrals don’t require the Department of Justice to bring criminal charges against the former president, but they put more pressure on federal prosecutors to act.
The panel also recommended the House Ethics Committee investigate House Minority Leader Kevin McCarthy (R-Calif.) and several allies — Reps. Jim Jordan (R-Ohio), Scott Perry (R-Pa.) and Andy Biggs (R-Ariz.) — and what they did in the lead-up to and on the day of the attack on the Capitol.

House Republicans are expected to dismantle the Jan. 6 panel after they take control of the chamber in January.
Trump shrugged off the criminal referrals in a statement posted to Truth Social, his social media platform.
“These folks don’t get it that when they come after me, people who love freedom rally around me. It strengthens me. What doesn’t kill me makes me stronger,” he posted.
Trump has announced a new bid for the White House, but it’s been clear for weeks amid a series of controversies surrounding Trump and a disappointing midterm election outcome for the GOP that a number of Republican senators would rather move on from the former president.
Only one Republican senator, Sen. Tommy Tuberville (Ala.), has publicly endorsed Trump’s 2024 presidential bid.
Others have raised concerns about Trump’s viability in the 2024 general election or blamed him for derailing their chances of winning key Senate races in Pennsylvania and Georgia this year.
Republican senators speaking to the media on Monday did not entirely embrace the Jan. 6 panel, by any means, but most did not embrace Trump.
Sen. Shelley Moore Capito (W.Va.), another member of the Senate Republican leadership team, said she thought the Jan. 6 committee’s investigation “was a political process” and that she had “never seen” Congress recommend the Justice Department prosecute someone before.
But she added that Trump “bears some responsibility” for the attack on the U.S. Capitol.
“I don’t see that this changes anything. Let’s get the Electoral Count Act passed. That will clear up some of the ambiguity that came about that day,” she said, referring to legislation the Senate will take up this week to clarify that the vice president has a solely ministerial role when Congress convenes in joint session to certify the results of a presidential election.
The bill is intended to eliminate the possibility that a future president tries to get the vice president to throw out slates of electors when presiding over a joint session of Congress, as Trump pressured then-Vice President Mike Pence to do on Jan. 6.
McConnell, Thune, Portman and Capito all voted to acquit Trump after his second impeachment trial when he was charged with inciting insurrection.
Many Senate Republicans, however, voted that way on technical grounds because Trump at the time of the trial was no longer in office.
Sen. Mitt Romney (R-Utah), who voted to convict Trump in both of his impeachment trials, said, “There’s no question that President Trump deserves culpability for inciting the riot on Jan. 6 and for failure to act to protect the vice president and the Capitol of the United States.”
“Whether there are criminal charges associated with that would have to be determined by experienced prosecutors, and that’s what the Justice Department will determine,” he said.
Sen. Pat Toomey (R-Pa.), who also voted to impeach Trump, said he would leave it up to federal prosecutors to decide what to do.
“I am not a lawyer and certainly not a prosecutor,” he said, adding he wasn’t surprised about the recommendation to prosecute.
“I don’t know the legal basis of it, but you know what I think of what the president did that day,” he said.
Sen. Lisa Murkowski (R-Alaska), who voted to convict Trump in his second impeachment trial, said she was not surprised by the criminal referral by the House committee.
“Obviously they spent considerable time and [went into] great detail over many months they have investigated this,” she said. “It’s really up to [the Department of Justice] where they go next.”
“I think it’s going to be important for us to read this report that will be coming out Wednesday,” she said.
Asked about McConnell’s statement that the entire nation knows Trump is responsible for the Jan. 6 attack, Murkowski replied, “I agree. I voted to impeach him.”
Thomas has done it again. Last week the longest-serving justice on the nation’s highest court defied widespread calls from legal experts that he recuse himself from cases that have anything to do with the seditious events surrounding Jan. 6, 2021. You know, the failed coup in which Thomas’ wife, far-right political activist Virginia “Ginni” Thomas, was a participant. Worse, this latest case possibly implicates Ginni Thomas directly in what was an unprecedented attempt to thwart a peaceful transfer of power.

You don’t need to be a lawyer to see the justice’s conflict of interest here. Yet either Thomas doesn’t see it, or he doesn’t care. Neither speaks well of him. More broadly, his behavior reflects the impunity enjoyed by the life-tenured, virtually unaccountable justices on the court, from which there is no appeal.
In the case in question, another election denier, Arizona Republican Party chair Kelli Ward, sought to block a subpoena from the House Jan. 6 committee for her phone and text records. On Nov. 14 the court by a 7-to-2 vote denied Ward’s request. Even for the conservative court, it wasn’t a close call. The two dissenters? Right-wing Justice Samuel Alito and — shockingly — Thomas.
Why the shock? Because Ginni Thomas had emailed Republican state legislators in Arizona after the 2020 election, urging them to replace the state’s Biden electoral college slate with fake pro-Trump electors, one of whom was Ward. Also, Ginni acted on the basis of a much-disputed “independent state legislature” theory that is the subject of another case pending before the court. And she was questioned by the Jan. 6 committee, whose probe she called a “political persecution” of “citizens who have done nothing wrong.” As news outlets reported in March, Ginni sent at least 29 messages post-election to Trump’s White House chief of staff urging that Trump not concede, saying in one, “It takes time for the army who is gathering for [Trump’s] back.”

Many of the standard doctrines about Lucifer don’t come from scripture but out of literature like Milton’s Paradise Lost. People falsely interpret scripture based on the preconception generated by such works.
First off, the name Lucifer is ONLY used once in the entire Bible. The name isn’t even a name but a title and is never even used until the Latin translation of the bible. The Hebrew word used is Heylel. It means ‘light bringer’, ‘shining one’. In that only passage were Lucifer is used, it isn’t talking about an angel but the prophecy is about a man. It actually calls him a man directly. It speaks of the rejoicing as his death. The decay of his body, being eaten by worms, being cast out of his grave, his spirit descending into hell then the rulers of hell say ‘Is this the MAN …? The passage is addressed to the ‘king of Babylon’. Note this can be translated several ways other then ‘King of Babylon’. Hebrew MLK can be king or the pagan deity known as Molech in scripture which means ‘shameful king’. Babylon is actually the word ‘Babel’ meaning confusion. So it could be ‘king of Babel’, ‘King of Confustion’ or even ‘Molech of Babel’, the pagan sun god.
Sun god worship is condemned throughout the old testament is in rampant in the ancient paganism. There are numerous references that equate the ancient pagan sun god direction to Satan worship.
In Revelation, the ‘king’ of the bottomless pit, abyss, is directly named as Abbadon in the Hebrew meaning ‘the destroyer’ and Apollyon in the Greek, also meaning ‘the destroyer’. Apollyon is one of the spellings of the Greek god Apollo. The devil is also ‘the destroyer’.
The passage in Isa 28 about the so-called fall of Lucifer has him as ‘ben Shachar’, ie ‘son of the Morning’. Most people don’t realize that ‘Shachar’ was a Canaanite god that was a ‘son of El’. This individual is mentioned other places in scripture. The most notable passage is Job 38 which firsts talks about the ‘morning stars’ singing as Yah laid the foundation of the earth. Are these the stars that Lucifer is setting his throne above? The passage goes on to say that Yah appointed the Morning/Shachar to shake the wicked out of the earth.
Job 38:12 Hast thou commanded the morning since thy days; and caused the dayspring to know his place;
13 That it (he) might take hold of the ends (skirts) of the earth, that the wicked might be shaken out of it?
The ancient Babylonian and Sumerian paganism is rampant with an angelic being, ie, a god that was a representative of heavens, that took the goddess of the Earth as his consort and produced the other gods. The Anunaki were the children of Anu and Ki (mother earth). Was Anu, Shachar that took hold of the skirts of the earth and shock the wicked one out of that union? One of the other names of Ki is Nammah, the name of Noah’s wife, the mother of all. Noah was commanded to raise up his seed in the Earth, Nammah was his wife that he raised up seed within. Earth is one of her nicknames.
In the passage of Isa 28 it later goes on to talk about the ‘root of the serpent’, the cockatrice and the friut/child/offspring of the Cockatrice, the ‘fiery serpent’. Is this ‘fiery serpent’ the same as the ‘great red dragon’ of Revelation who is the child of the cockatrice.
Even the passage in Revelation that talks about the fall of 1/3 of the stars of heaven is an event that takes place during the period of the tribulation. It is generally misused as referencing a past event of the so-called fall of an angelic being before the creation of man. Even the ‘stars of heaven’ are referenced numerous times in the Old Testament in conjunction with the ancient paganism of worship of the sun, moon, planets, constelations (the host of heaven).
Another point to understand is that the Hebrew word Shamayim, heavens, can be EITHER the realm of Yah or just the sky. The fall of the ‘king of Babel’ could just as easily be a fall from the sky, ie, the casting down of the Tower of Babel and the pagan worship that was set up there. There are also four angels bound at the Euphrates that get let loose in Revelation. Who were these four angels? Why and when were they bound there? What crime did they commit against Yah to be imprisoned? Did they have children like the ‘sons of God’ in Gen 6? Why were they bound at the Euphrates when the others are said to be bound in Tartarus? Were these four more angels that committed the same sin after the flood as those that did before the flood? Were these the ‘Morning Stars’ that Lucifer set his throne above?
The passage in Eze that is taught as a reference to Lucifer is addressed to the primary pagan deity of Tyrus. Melqart, ‘king of the city’, is one of the titles of Molech at the city of Tyrus. The prophecy before it is to Baal and the prophecy after it is to Ashtoreth. These are the three primary Canaanite deities, the unholy trinity. Again a passage about the ancient pagan sun of the Canaanites is used as a reference to Lucifer.
Even the Roman name of Lucifer is a reference to the goddess Diana Luciferah of Ephesus. The twin sister of the pagan sun god.
In Revelation 2, the ‘seat of Satan’ in the city of Pergamos is a reference to the great alter of Zeus that was located there.
Isa 57:9 also equates offering sacrifices to Molech as ‘debasing thyself unto hell’.
There are literally hundreds of scriptural clues that point directly to Lucifer being a title of the ancient pagan sun god. The sun god used ‘arrows of the sun’ while Satan is said to send ‘fiery darts’.
So where did the doctrine that Lucifer was a great angle that was cast from Yah’s heaven and took 1/3 of the angels into rebellion with him come from? The answer is Milton’s ‘Paradise Lost’, not scripture. There are many, many references in scripture that point to the ancient pagan sun god as who is being referenced as Lucifer and he is not an angle but the offspring of an angle, a Nephilim, ie seed of the serpent that was sown in the earth.
